Terms of Service

1.Definitions
- 'Travix Lab', 'we', 'us', 'our':Travix Lab Limited, registered in England and Wales, 128 City Road, London EC1V 2NX.
- 'Services':All products, APIs, booking engines, dashboards, white-label platforms and related software provided by Travix Lab.
- 'Customer', 'you', 'your':The business or individual entering into these Terms.
- 'Order Form':A written or electronic agreement specifying the Services subscribed, fees and special conditions.
- 'Platform':Travix Lab's web-based dashboard, developer portal and associated infrastructure.
- 'Content':All data, text, code, software, graphics and other materials available through the Services.
2.Account Registration & Eligibility
To access the Services you must:
- Be at least 18 years of age and have full legal capacity to enter into binding contracts.
- Provide accurate, current and complete information during registration and keep it updated.
- Be authorised to act on behalf of your organisation if registering as a business.
You are responsible for maintaining the confidentiality of your login credentials and API keys. You must notify us immediately at security@travixlab.com of any unauthorised access to your account. Travix Lab is not liable for loss resulting from unauthorised use of your credentials.
3.Services & Licence
Subject to payment of applicable fees and compliance with these Terms, Travix Lab grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for your internal business purposes.
The specific Services, scope, and pricing are set out in the applicable Order Form. Travix Lab reserves the right to:
- Modify, enhance or discontinue features with reasonable prior notice.
- Introduce new features or additional Services (which may be subject to additional fees).
- Perform scheduled and emergency maintenance, with reasonable advance notice where practicable.
4.Acceptable Use
You agree not to:
- Use the Services for any unlawful purpose or in violation of any applicable law, regulation or supplier rule.
- Reverse engineer, decompile, disassemble or attempt to derive the source code of the Services.
- Circumvent or disable any rate limits, access controls or security features.
- Use the Services to transmit malware, phishing content or spam.
- Resell, sublicense or transfer access to the Services without our written consent.
- Scrape, crawl or extract data from the Services in bulk beyond normal API usage.
- Use the Services to infringe third-party intellectual property rights.
- Take any action that places an unreasonable or disproportionate load on our infrastructure.
- Impersonate Travix Lab or any third party.
Violation of this section may result in immediate suspension of your account without notice or refund.
5.Fees, Billing & Payment
Fees for the Services are set out in the applicable Order Form. Unless stated otherwise:
- Subscription fees are billed in advance on a monthly or annual basis.
- Usage-based fees (e.g. API calls beyond your plan allowance) are billed in arrears.
- All fees are exclusive of applicable taxes (VAT, GST, sales tax), which will be added where legally required.
- Payment is due within 30 days of invoice date unless otherwise agreed.
- Late payments accrue interest at 8% per annum above the Bank of England base rate, compounded monthly.
- Travix Lab may suspend Services after 14 days written notice of overdue payment.
- All fees paid are non-refundable except as expressly stated in these Terms or required by law.
You may dispute an invoice in good faith by providing written notice within 14 days of receipt. Undisputed amounts remain payable.
6.Intellectual Property
Travix Lab IP: All intellectual property rights in the Services, Platform, APIs, documentation, trademarks, logos and underlying technology remain the exclusive property of Travix Lab Limited. These Terms do not grant you any ownership rights.
Your data: You retain all rights to the data you upload to or generate through the Services ("Customer Data"). You grant Travix Lab a limited licence to process Customer Data solely to provide the Services.
Feedback: If you provide suggestions, ideas or feedback regarding the Services, Travix Lab may use such feedback without restriction or compensation.
7.Confidentiality
Each party may disclose to the other confidential information ("Confidential Information") in connection with the Services. Each party agrees to:
- Keep Confidential Information strictly confidential and use it only for the purpose of exercising rights or performing obligations under these Terms.
- Not disclose Confidential Information to third parties without the other party's prior written consent, except to employees or contractors with a need-to-know who are bound by equivalent confidentiality obligations.
- Notify the other party promptly on discovery of any unauthorised disclosure.
These obligations do not apply to information that is or becomes publicly available through no breach of these Terms, was independently developed, or must be disclosed by law.
8.Warranty & Disclaimer
Travix Lab warrants that the Services will perform materially in accordance with our documentation and applicable SLA during the subscription term.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE". TRAVIX LAB DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. TRAVIX LAB DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE OR FREE OF SECURITY VULNERABILITIES.
Content from third-party travel suppliers (fares, availability, pricing) is provided for informational purposes; Travix Lab does not warrant its accuracy or completeness.
9.Limitation of Liability
TO THE EXTENT PERMITTED BY LAW:
- Neither party will be liable to the other for any indirect, incidental, special, consequential, punitive or exemplary damages, including loss of profit, revenue, goodwill, data or business opportunity, even if advised of the possibility of such damages.
- Travix Lab's total aggregate liability arising out of or related to these Terms — whether in contract, tort (including negligence), breach of statutory duty or otherwise — is limited to the total fees paid or payable by you in the 12 months immediately preceding the claim.
Nothing in these Terms limits either party's liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by law.
10.Indemnification
You agree to indemnify, defend and hold harmless Travix Lab, its officers, directors, employees and partners from and against any claims, liabilities, damages, losses and expenses (including reasonable legal fees) arising from or related to:
- Your use of the Services in breach of these Terms.
- Any content or data you submit through the Services.
- Your violation of any law or third-party rights.
11.Term & Termination
Term: These Terms commence on the date you first access the Services and continue for the subscription period set out in your Order Form, auto-renewing unless either party provides 30 days' written notice of non-renewal before the end of the then-current term.
Termination for cause: Either party may terminate immediately on written notice if the other party: (a) materially breaches these Terms and fails to cure within 14 days of written notice; (b) becomes insolvent, makes an assignment for the benefit of creditors or enters insolvency proceedings.
Effect of termination: On termination, your licence to use the Services ceases immediately. You must cease use and destroy all copies of our Confidential Information in your possession. All outstanding fees become immediately due. Sections 6, 7, 9, 10, 12 and 13 survive termination.
12.Data Protection
Each party will comply with applicable data protection laws. To the extent Travix Lab processes personal data on your behalf as a data processor, we will do so in accordance with our Data Processing Agreement (DPA), available on request at privacy@travixlab.com. Our Privacy Policy governs data we process as a controller.
13.Governing Law & Dispute Resolution
These Terms are governed by and construed in accordance with the laws of England and Wales. Each party irrevocably submits to the exclusive jurisdiction of the courts of England and Wales for any dispute arising out of or in connection with these Terms.
Before initiating legal proceedings, the parties agree to attempt to resolve any dispute through good-faith negotiations for a period of 30 days.
14.General Provisions
- Entire agreement: These Terms (together with any Order Form) constitute the entire agreement between the parties and supersede all prior agreements relating to the subject matter.
- Amendments: Travix Lab may update these Terms by posting the revised version at travixlab.com/terms with 30 days' notice. Continued use of the Services after the effective date constitutes acceptance.
- Waiver: Failure to enforce any provision does not waive the right to enforce it in the future.
- Severability: If any provision is found invalid or unenforceable, it will be modified to the minimum extent necessary, and the remaining provisions will continue in full force.
- Assignment: You may not assign these Terms without Travix Lab's written consent. Travix Lab may assign these Terms in connection with a merger, acquisition or sale of all or substantially all of its assets.
- Force majeure: Neither party is liable for failure to perform due to causes beyond its reasonable control (e.g. natural disasters, government actions, internet outages).
